Privacy Statement

LedgerFly is a service operated by Selective Offshoring LLC (“Selective Offshoring,” “LedgerFly,” “we,” “us,” or “our”). This Privacy Statement explains how we collect, use, disclose, retain, and protect information when you visit the LedgerFly website, create or maintain an account, use the LedgerFly platform, receive bookkeeping or related services from us, or otherwise interact with LedgerFly (collectively, the “Services”). By accessing or using the Services, you acknowledge the practices described in this Privacy Statement.

1. Information We Collect

Information You Provide Directly

We may collect information you provide to us, including your name, email address, telephone number, and other contact information; business name, address, industry, and other business information; account registration and login information; billing and subscription information; information provided during customer onboarding; communications with LedgerFly, including support requests; documents and records uploaded or otherwise provided through the Services; and other information you choose to provide.

Financial and Accounting Information

To provide bookkeeping and related services, LedgerFly may receive or process financial and accounting information concerning a customer's business, including general ledger and chart-of-accounts information; bank and credit card transactions; account balances and transaction histories; invoices, bills, receipts, and supporting documents; accounts payable and accounts receivable records; vendor and customer information; journal entries and reconciliations; financial statements and management reports; and other accounting, financial, or business records necessary to provide the Services. We refer to information, records, and documents provided by or on behalf of a customer for processing through the Services as "Customer Data."

Information From Connected Services

You may authorize LedgerFly to access information maintained by third-party services, including accounting platforms such as QuickBooks, financial institutions, payment providers, document-storage services, or other business applications. When you authorize such a connection, we may receive or access information from the connected service as necessary to provide the LedgerFly Services. Your relationship with a third-party service is also governed by that provider's terms, privacy practices, and other applicable policies.

Payment Information

LedgerFly may use third-party payment processors, including Stripe or other payment-service providers, to process subscription and other payments. Payment processors may collect payment-card, bank-account, billing, and related information directly from you. LedgerFly generally does not store complete payment-card numbers or payment-card security codes on its own systems.

Information Collected Automatically

When you visit our website or use the Services, we and our technology providers may automatically collect certain information, including Internet Protocol (IP) address; browser and device information; operating system; pages or features accessed; date and time of access; referring pages or sources; session and application activity; log and diagnostic information; and similar technical and usage information. We may use cookies and similar technologies for website functionality, security, analytics, and improvement of the Services.

2. How We Use Information

We may use information collected through LedgerFly to provide bookkeeping and related Services; establish, maintain, and administer customer accounts; process, categorize, reconcile, and review accounting information; generate accounting records and reports; facilitate authorized integrations with accounting and other business systems; process subscriptions and payments; communicate with customers; provide onboarding, customer service, and technical support; authenticate users and protect accounts; monitor the performance, reliability, and security of the Services; diagnose and resolve technical problems; improve LedgerFly's products, services, workflows, and operations; prevent and investigate fraud, unauthorized access, misuse, and security incidents; maintain appropriate business, accounting, and compliance records; enforce our agreements and policies; comply with legal obligations and lawful governmental requests; and protect the rights, property, and security of LedgerFly, Selective Offshoring, our customers, and others.

3. Customer Data and Confidential Business Information

Customers retain their rights in Customer Data they provide or make available to LedgerFly. LedgerFly does not acquire ownership of a customer's accounting records, financial records, documents, or other Customer Data merely because that information is transmitted to, stored by, accessed by, or processed through the Services. We use Customer Data principally to provide, administer, secure, support, maintain, and improve the Services and as otherwise permitted by our agreements with customers and applicable law. Customers are responsible for ensuring that they have the authority to provide Customer Data to LedgerFly and to authorize its access and processing in connection with the Services.

4. How We Disclose Information

LedgerFly does not sell Customer Data. We may disclose information to service providers that perform services for us, including cloud hosting and infrastructure providers, accounting software and integration providers, payment processors, communications providers, customer-support systems, cybersecurity and fraud-prevention providers, data storage and document-management providers, software developers and technology providers, analytics providers, professional advisers, and other vendors necessary to operate the Services. LedgerFly's Services may be performed by employees, contractors, accounting personnel, reviewers, managers, technology personnel, or other authorized personnel engaged by Selective Offshoring LLC. Access to Customer Data is intended to be limited to personnel who reasonably require access to perform authorized services or legitimate business functions. We may also disclose information when required by law, to protect against fraud or security threats, to enforce our agreements or legal rights, or in connection with a business transaction such as a merger or acquisition.

5. Sale, Sharing, and Targeted Advertising

LedgerFly does not sell Customer Data. LedgerFly does not disclose customers' underlying accounting or financial records to third parties for those third parties' independent advertising or marketing purposes. Where applicable law provides rights concerning such activities, LedgerFly will provide the disclosures and choices required by that law.

6. Artificial Intelligence and Automated Processing

LedgerFly may in the future implement software automation, machine learning, artificial intelligence, or similar technologies to assist in providing or improving the Services. Such technologies may assist with functions such as transaction processing, categorization, reconciliation, document processing, anomaly identification, quality control, workflow management, customer support, or system operation. LedgerFly will not authorize a third-party artificial-intelligence provider to use confidential Customer Data to train general-purpose artificial-intelligence models unless such use has been disclosed to and authorized by the customer.

7. International Processing and Offshore Personnel

LedgerFly is a U.S.-based service operated by Selective Offshoring LLC. In providing the Services, we may use employees, contractors, affiliated service providers, or other authorized personnel located outside the United States. Accordingly, Customer Data and personal information may be accessed or processed from jurisdictions outside the United States. We take reasonable measures designed to require personnel and service providers with access to confidential Customer Data to maintain its confidentiality and security and to use it only for authorized purposes. By using the Services, you understand that information may be processed in jurisdictions other than the jurisdiction in which you or your business is located, subject to applicable law.

8. Data Security

LedgerFly uses administrative, technical, and organizational safeguards designed to protect Customer Data and personal information against unauthorized access, acquisition, alteration, disclosure, destruction, loss, or misuse. These safeguards may include user authentication and access controls; restrictions on access to Customer Data; secure cloud infrastructure; encryption and secure transmission technologies; system logging and monitoring; backup and recovery processes; personnel confidentiality requirements; vendor and service-provider controls; and security policies and operational procedures. No information system, Internet transmission, or method of electronic storage can be guaranteed to be completely secure. Customers are responsible for protecting their account credentials and promptly notifying LedgerFly if they suspect unauthorized access to their accounts.

9. Data Retention

We retain personal information and Customer Data for as long as reasonably necessary to provide the Services; maintain customer accounts; fulfill the purposes described in this Privacy Statement; satisfy contractual obligations; maintain appropriate accounting and business records; resolve disputes; protect against fraud or security threats; enforce our agreements; and comply with applicable legal and regulatory requirements. Retention periods may differ depending on the type of information, customer relationship, contractual obligations, operational requirements, and applicable law.

10. Cookies and Analytics

LedgerFly and its service providers may use cookies and similar technologies to operate and secure our website, remember user preferences, analyze usage, diagnose technical problems, and improve the Services. You may be able to control cookies through your browser settings. Disabling certain cookies may affect website or Service functionality. Where applicable law requires consent or additional choices regarding particular cookies or tracking technologies, we will provide those choices.

11. Communications

We may send communications concerning your account, onboarding, bookkeeping Services, billing, security, system changes, customer support, or other matters relating to your relationship with LedgerFly. We may also send marketing communications where permitted by law. You may unsubscribe from promotional emails using the unsubscribe mechanism included in those communications. Unsubscribing from marketing communications will not prevent us from sending transactional, account, security, billing, or service-related communications.

12. Your Privacy Rights

Depending on your state or country of residence and applicable law, you may have certain rights regarding personal information, including the right to request access to certain personal information; correction of inaccurate personal information; deletion of certain personal information; a portable copy of certain personal information; information regarding certain disclosures or processing of personal information; opt-out from certain uses, disclosures, sales, sharing, or targeted advertising where required by law; and review or appeal of certain decisions concerning privacy requests. These rights are subject to applicable exceptions, limitations, verification requirements, and eligibility thresholds. LedgerFly will not unlawfully discriminate against an individual for exercising an applicable privacy right. Privacy requests may be submitted using the contact information provided below.

13. Information Relating to Other Individuals

Customer Data may contain information concerning a customer's employees, contractors, customers, vendors, owners, or other individuals. In those circumstances, LedgerFly generally processes the information on behalf of the business customer as necessary to provide the Services. The LedgerFly customer is responsible for providing any notices and obtaining any permissions or authorizations required for the customer's collection and disclosure of that information to LedgerFly.

14. Children's Privacy

LedgerFly is a business service and is not directed to children under 13. We do not knowingly solicit or collect personal information directly from children under 13 through LedgerFly account registration or marketing activities.

15. Third-Party Services

LedgerFly may integrate with or provide links to third-party websites, applications, accounting platforms, financial institutions, payment processors, and other services, including QuickBooks® products and services provided by Intuit Inc. Their handling of information is governed by their respective privacy policies, security practices, and contractual terms. This Privacy Statement does not govern information collected or processed independently by those third parties. QuickBooks® is a registered trademark of Intuit Inc. LedgerFly and Selective Offshoring LLC are independent service providers and are not affiliated with, sponsored by, or endorsed by Intuit Inc.

16. Security Incidents

If we become aware of a security incident affecting Customer Data or personal information, we will investigate and respond to the incident based on its nature and scope. Where notification to customers, individuals, governmental authorities, or others is required by applicable law or contract, we will provide such notification in accordance with the applicable requirements.

17. U.S. State Privacy Laws

Residents of certain U.S. states may have additional privacy rights under applicable state privacy laws. Where a state privacy law applies to LedgerFly, Selective Offshoring LLC, the individual making the request, and the particular processing activity, we will provide the rights, disclosures, opt-out mechanisms, and appeal procedures required by that law. Nothing in this Privacy Statement is intended to limit a privacy right that cannot lawfully be limited or waived.

18. Changes to This Privacy Statement

We may update this Privacy Statement periodically to reflect changes in our Services, technology, business practices, legal requirements, or other circumstances. When we update this Privacy Statement, we will revise the "Last Updated" date at the beginning of the Statement. If we make a material change to the way we collect, use, or disclose personal information, we may provide additional notice where required by applicable law.
